About The Role
Our client is seeking to appoint an accomplished Non-Executive Director to join its Board of Directors. This strategic leadership role is suited to a highly respected business executive with extensive experience in investment banking, private equity, corporate finance, fundraising, and capital markets.
The successful candidate will provide independent oversight, strategic guidance, and governance while leveraging an extensive professional network to support institutional fundraising, strategic partnerships, and sustainable business growth.
Key Responsibilities
Board Governance & Strategic Leadership
- Provide independent oversight and strategic direction to the Board.
- Participate in the development, review, and approval of corporate strategy.
- Ensure compliance with corporate governance principles and regulatory requirements.
- Offer objective advice on strategic, operational, financial, and investment decisions.
- Participate actively in Board and Committee meetings.
- Advise on institutional fundraising initiatives and capital mobilization strategies.
- Support equity and debt capital raising transactions.
- Identify investment opportunities and strategic funding partners.
- Leverage relationships with financial institutions, institutional investors, development finance institutions (DFIs), and private equity firms.
- Provide strategic guidance on mergers, acquisitions, and corporate restructuring.
- Advise management on corporate finance strategies and capital allocation.
- Review financial performance and long-term business plans.
- Support the evaluation of new investment opportunities and expansion initiatives.
- Contribute to enterprise value creation and shareholder returns.
- Monitor financial, operational, and governance risks.
- Ensure effective risk management frameworks are maintained.
- Promote ethical leadership and sound corporate governance.
- Ensure compliance with applicable regulatory and statutory obligations.
- Build relationships with investors, regulators, financial institutions, and strategic partners.
- Represent the organization at high-level business engagements where required.
- Enhance the organization's credibility within the investment and financial community.
- Bachelor's Degree in Finance, Economics, Accounting, Business Administration, Law, or a related discipline.
- MBA, Master's degree, or other postgraduate qualification is highly desirable.
- Professional memberships such as ICAN, ACCA, CFA, CIS, CIBN, or equivalent will be an added advantage.
- Minimum of 20 years' executive leadership experience.
